Terms of Service – Areze AI Creative Studio

1. Agreement to Terms

By accessing or using the services provided by Areze AI Creative Studio ("Areze," "we," "our," "us"), including our website, applications, and platform for generating images and videos ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, you may not use the Services.

These Terms should be read in conjunction with our Privacy Policy, which is incorporated herein by reference and available at https://areze.com/privacy.

2. Eligibility

You must be at least 18 years old (or the minimum legal age in your jurisdiction) to use Areze. By using the Services, you represent and warrant that you meet the eligibility requirements and that you will comply with all applicable laws and regulations.

If you are using the Services on behalf of a business or other entity, you represent that you have the authority to bind that entity to these Terms.

3. Account Creation and Security

To access certain features of Areze, you must create an account. You agree to provide accurate, current, and complete information during registration and to update it as necessary. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us immediately of any unauthorized use of your account.

We reserve the right to suspend or terminate accounts that provide false information or violate these Terms.

4. Subscriptions and Payments

Access to certain Services may require a subscription or payment. By subscribing, you agree to pay all fees specified at the time of purchase, including applicable taxes. All payments are processed securely through third-party payment processors.

Billing and Changes

We may modify subscription fees at any time, provided we give at least 60 days advance notice. Changes will take effect at the start of your next billing cycle.

Cancellation and Refunds

You may cancel your subscription at any time by contacting support. No refunds are provided for partial subscription periods.

5. User Content and Commercial Use

"User Content" refers to any images, videos, text, or other material you upload, submit, or generate using Areze. By uploading User Content, you grant Areze a limited, non-exclusive license to process, store, and display the content as necessary to provide the Services. You retain ownership of your User Content, and you can request deletion of your content at any time via the platform or by contacting support@areze.com.

Content Responsibilities

You represent and warrant that you have all rights, licenses, and permissions necessary to submit your User Content and that it does not violate the rights of any third party, including intellectual property, privacy, or publicity rights.

You are solely responsible for your User Content and any consequences of uploading or publishing it.

6. Prohibited Uses

You may not use the Services to:

• Violate any applicable laws or regulations
• Upload content that infringes the intellectual property rights of others
• Generate content that is illegal, defamatory, obscene, abusive, threatening, or harmful
• Create content that violates the privacy or publicity rights of others
• Generate deepfakes or misleading content intended to deceive
• Attempt to interfere with, disrupt, or manipulate the Services or servers
• Use automated means to access the Services without permission
• Reverse engineer or attempt to extract underlying algorithms
• Resell or redistribute the Services without authorization
• Use the Services to compete with Areze directly

We reserve the right to remove any content or suspend accounts that violate these Terms, at our sole discretion and without prior notice.

7. Intellectual Property

All software, algorithms, text, graphics, and other materials provided by Areze (excluding User Content) are the property of Areze or its licensors and are protected by copyright, trademark, patent, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without prior written permission.

AI Model and Algorithm Rights

The artificial intelligence models, training data, and proprietary algorithms used by Areze remain our exclusive property. Users receive only the right to use the Services as specified in these Terms.

8. Third-Party Services

Areze may integrate with or use third-party services, including but not limited to Google Ads, Google Analytics, Mixpanel, and social media advertising platforms. Your use of these services is subject to the third-party's terms and privacy policies. Areze is not responsible for the content, privacy practices, or security of third-party services.

9. Service Availability and Performance

We strive to maintain high availability of our Services, but we do not guarantee uninterrupted access. We may temporarily suspend the Services for maintenance, updates, or other operational reasons.

10. Disclaimer of Warranties

The Services are provided "as is" and "as available." Areze does not make any representations or warranties of any kind, express or implied, regarding the reliability, accuracy, availability, or quality of the Services. You assume all risks related to your use of the Services.

We specifically disclaim any warranties of merchantability, fitness for a particular purpose, and non-infringement.

11. Limitation of Liability

To the maximum extent permitted by law, Areze shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or business opportunities, arising out of or related to your use of the Services.

Our total liability for all claims shall not exceed the amount you paid to Areze in the 3 months preceding the claim, or $100, whichever is greater.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so these limitations may not apply to you.

12. Indemnification

You agree to indemnify, defend, and hold harmless Areze and its affiliates, officers, employees, agents, and licensors from any claims, liabilities, damages, losses, and expenses (including reasonable attorney's fees) arising from:

• Your violation of these Terms
• Your submission of User Content
• Your violation of any third-party rights
• Your use of the Services in violation of applicable law

13. Termination

We may suspend or terminate your access to the Services for violation of these Terms, non-payment, or for any reason with 30 days notice. We may terminate immediately without notice for serious violations including illegal activities or security breaches.

You may terminate your account at any time through your account settings.

Upon termination, your rights to use the Services immediately cease, but provisions regarding User Content, disclaimers, limitations of liability, indemnification, and governing law survive.

14. Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, or government actions.

15. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be replaced with a valid provision that most closely reflects the intent of the original provision.

16. Entire Agreement

These Terms, together with our Privacy Policy and any additional terms referenced herein, constitute the entire agreement between you and Areze regarding the Services and supersede all prior agreements and understandings.

17. Changes to Terms

Areze may update these Terms at any time. We will notify users of material changes via email or by posting a prominent notice on the platform at least 30 days before the changes take effect.

Your continued use of the Services after changes are made constitutes acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Services.
